I am impressed with Mr. Holt Terburg.I had a complaint filed against me which was not accurate. After a conversation with Mr. Terburg he offered to take a close look at the circumstances of the complaint. I believe Mr. Terburg looked at the case carefully and was able to determine the facts ...I believe we do need a department like this to watch out for all of us and they do a good job.

The Utah Department of Commerce does not provide a Certificate of Beneficial Ownership but we do have a form for Benefit Corporation from our Division of Corporations and Commercial Code. "501(c)(3)" is actually a tax status with the IRS, and is not related to what we do here at the division. Assuming that the entity they're talking about is a Utah nonprofit corporation, they can cancel/dissolve a domestic nonprofit corporation by completing the Articles of Dissolution. There are 2 forms, one for corporations with shares and one for corporations without shares. They will need to pick the one that best suits their corporation. Both forms can be found at https://corporations.utah.gov/business/dnp.html.
They may file either a Statement of Dissolution or Statement of Termination with our office. Both forms can be found at https://corporations.utah.gov/business/lc.html. A professional license is applied for with the Division of Occupational and Professional Licensing (DOPL). A Corporate Registration is done with the Division of Corporations. An actual business license is applied for with your local jurisdiction.

We can let you know if they have registered their business in the state of Utah but we do not regulate or have jurisdiction over financial institutions in the State.
