Mr. Tyler Gordon helped us immensely in getting out of a contract we were misled into purchasing. I contacted several attorneys regarding my case, but I was immediately impressed by Kevin who quickly analyzed the issues and provided more legal information and direction than the other attorneys I had called. My case was very complex, but Kevin clearly explained our changing strategies and why we should proceed, or not proceed in a particular direction. Then, as the case progressed, he kept me informed, thoroughly discussed my options for each decision that I had to make, and quickly returned my phone calls and emails. What types of cases would you serve as Co-Counsel?

There are a few situations where a law firm or client may ask us to co-counsel a case. One situation may be where the client has a business attorney that is not a litigator and they would like the business attorney to continue to be involved but to have us litigate a case. Another example may be where a case requires a specialist in a particular practice area, along with a litigation attorney. Sometimes an out-of-state attorney or law firm seeks to co-counsel a case with our firm where they need a local attorney who is Florida barred to make court appearances, handle procedural issues and be the “boots on the ground” for a case. Lastly, a law firm that obtains a judgment out of state may hire us to “co-counsel’ a collections issues where they are seeking to enforce a judgment against a Florida resident.

Do I really need an attorney to review my lease or contract?

Generally, once a contract is signed, a court will enforce its terms against the parties. Because of this, the best (and sometimes only) opportunity to protect oneself or ones’ business against contractual liability or other harms is to have an attorney review the contract before it is executed. The attorney can advise on risks, remedies and answer questions about it to allow the business or individual to better understand contractual obligations before undertaking them. If there are opportunities to negotiate and change the terms of the contract, that is best done before it is executed and an attorney can often help to negotiate the best terms for their client. If the terms are not acceptable and it cannot be negotiated, then a business or individual can decide not to proceed with the deal, which may be the best option. In any case, it is best to speak with an attorney before signing any legal contract.

Generally any business endeavor is going to involve the acceptance of some risks in exchange for opportunities. There are various ways to deal with these risks, including avoiding, mitigating and insuring. Avoiding them might me, for instance, not engaging in a certain type of business or selling a certain type of product. Mitigating them might involve using appropriate contracts to shift or reduce the risks or deploying certain asset protection strategies. Insuring them would involve obtaining an insurance policy to pay for the harm in case a risk is realized. Identifying, analyzing and dealing with risk is important for any business.

How is business litigation different from general litigation?

Business litigation is not a technical term. It generally describes a dispute in court between, amongst or involving businesses. There are various types of disputes which might constitute “business litigation”. Here are a few examples: One example is two businesses who have entered into an agreement and one (or both) believe the other has not fulfilled their obligations. For instance, one company contracts with another to provide a software solution. After installation, it does not perform as expected. The buyer refuses to pay the last payment. The seller sues for non-payment. The buyer counter-sues for breach of contract and requests damages necessary to have another company fix/upgrade the software. There are many other examples of “business litigation”. To determine whether you need a business litigation attorney, it’s best to contact a firm specializing in this area of the law for a consultation.
