When you form an LLC the state requires you to list the managers or members on the articles of organization and their addresses. We set up an innovative privacy service using an additional LLC and a NV business address that we provide, this way your name and home address are not listed on Silverflume. Nevada has no state (personal) income tax, corporate or franchise taxes. There are no taxes on corporate shares or profits. There is privacy protection for LLC owners who wish to be anonymous. No annual meeting requirements and no state requirements for the operating agreement (although it’s recommended you have one). Nevada has added asset protection from creditors as one of only 5 states with charging order protection. Nevada (and Texas) are the only two states that do not have information sharing agreements with the Internal Revenue Service. The formation fees are low and the turnaround to form an LLC is quick.
If you want to keep the longevity of the LLC and use the same EIN the state will require that you pay all the back fees from the date it was closed until current, that could be quite costly. I would suggest to start your LLC again. The cost for our same day formation is only $649.
You can be your own registered agent in Nevada. The state requires that the registered agent/office have a physical address located in Nevada. P.O. Boxes, USPS locations or mailbox rental companies are not acceptable. You have to be available during all business hours to accept service of process (SOP) or legal documents that are served upon the business. You could potentially be served a lawsuit in front of your customers! The registered agent's address is public on the state's website, don't use your home address unless you want the public showing up at your door. If you want to maintain your privacy and keep informed of all the state's annual corporate filing requirements then definitely hire a commercial registered agent. Our service is only $75 a year.
